Terms of Service

1) Who we are

The Site is operated by LedgerLeaf Templates Inc. ("LedgerLeaf", "we", "us").

2) Eligibility and accounts

• You must be at least the age of majority where you live to purchase Templates.
• You are responsible for maintaining the confidentiality of any account credentials and for activity under your account.

3) Orders, pricing, and taxes

• Prices are shown at checkout and may change at any time before you place an order.
• Applicable taxes (including GST/HST/PST where required) may be added at checkout.
• Digital products may be delivered by download or other electronic access.

4) License to use Templates

Unless a specific license is provided at purchase, Templates are licensed (not sold) to you on a non-exclusive, non-transferable, revocable basis for your personal use or internal business use.

• You may modify Templates for your own use and create outputs (e.g., filled documents) for lawful purposes.
• Unless expressly permitted, you may not resell, sublicense, share, distribute, publish, or make Templates available to others (including posting to template libraries, marketplaces, or repositories).
• One purchase is intended for use by one individual user/seat unless your order states otherwise.

5) Prohibited uses

• No illegal use, including use that violates Canadian or applicable local laws.
• No falsification, forgery, or creation of deceptive or misleading documentation, records, or identity materials.
• No impersonation, fraud, or misrepresentation of affiliation, approvals, or credentials.
• No interference with Site security, scraping, reverse engineering (except to the extent prohibited by law), or attempting to access non-public areas.

6) Intellectual property

We and our licensors own the Site and Templates, including all copyrights, trademarks, and other rights. These Terms grant only the limited license described above.

7) Disclaimers

The Site and Templates are provided “as is” and “as available”. To the maximum extent permitted by applicable law, we disclaim all warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Templates are for general informational/organizational purposes and are not legal, tax, or professional advice. You are responsible for verifying suitability and compliance for your use.

8) Limitation of liability

To the maximum extent permitted by law, LedgerLeaf will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total liability for all claims arising out of or relating to the Site or Templates will not exceed the amounts you paid to LedgerLeaf for the Templates giving rise to the claim in the 12 months before the event first occurred.

9) Termination

We may suspend or terminate access to the Site or revoke the license to Templates if you violate these Terms. Upon termination, you must stop using the Templates and delete copies in your possession or control.

10) Changes

We may update these Terms from time to time by posting the updated version on the Site. The “Last updated” date indicates when changes were made. Your continued use after changes means you accept the updated Terms.

11) Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Vancouver, British Columbia will have exclusive jurisdiction over disputes, except where applicable consumer protection laws provide otherwise.
